Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

RSU Grants

 

On November 18, 2021, the Compensation Committee (the “Committee”) of the Board of Directors of SG Blocks, Inc. (the “Company”) granted an award of 250,000 restricted stock units (RSUs) under the Company’s Stock Incentive Plan, as amended (the “Plan”) to Paul Galvin, the Company’s Chairman, Chief Executive Officer and Interim Chief Financial Officer, vesting quarterly over two years. In addition, the Committee granted to each of Yaniv Blumenfeld, Christopher Melton, Joseph Safina and David Villarreal, the Company’s non-executive directors, 20,000 RSUs under the Plan, vesting quarterly over two years.
